Company Description

Comrade Trustee Services Limited (CTSL), as Trustees for the Defence Force Retirement Benefit Fund (DFRBF), the Trustee is going through a change to improve services to the members of the Fund. CTSL is seeking qualified and highly motivated individuals to join its team of professionals and participate in a unique growth opportunity.
In line with its legal responsibility and functions, CTSL is looking for an experienced, motivated and high performing individual to fill the role of Manager – Legal/Company Secretary.

Responsibilities Summary:

The Manager-Legal/Company Secretary is responsible for efficient administration of CTSL with regards to Legal and Board matters and ensuring compliance with statutory and regulatory requirements and other duties as directed by the Chief Executive Officer.

Specific Responsibilities:

  1. Implementation and monitoring of Corporate Governance and to ensure that the provisions of PS 7/2012 are adhered to strictly;
  2. Provide Board Committee support services in relation to minutes taking and arrangement for meetings and any other related duties;
  3. Coordinating the Board and Committee agendas and circulate the same on a time manner;
  4. Coordinating the preparation of Board and Committee papers and circulate the same on a timely basis;
  5. Organizing of Annual General Meetings;
  6. Ensuring necessary registers are kept and properly maintained and ensuring that the company’s financial records are maintain, and reports prepared in accordance with the requirements of the Act;
  7. Provide legal advice to the Board and the organization as a whole;
  8. Liaise and lead in negotiations with third parties and their legal advisers on matters related to the organization.
  9. Prepare and file legal documents, such as lawsuits, appeals, wills, contracts and deeds
Job Requirements:

Qualification and Experience

The ideal candidate must at a minimum satisfy the following criteria:
  • Bachelor’s Degree in Law, Business or Finance or related field;
  • Admitted to the Bar to practice law;
  • Demonstrates experience and competence and success in corporate policy –making
  • Demonstrates experience and competence in interpretation of complex legislation and regulations.
  • At least 5 years’ experience in a supervisory or managerial role preferably in the finance Industry;
  • Have a general understanding of the Superannuation (General Provision), and various amendments and Companies Act;
  • Previous experience dealing with Board matters;
  • Possess excellent written and oral communication skills;
  • Creative and innovative thinker and open to new ideas;
  • Ability to work with minimal supervision.
